Welcome to ATS Ready. These Terms of Service ("Terms") govern your access to and use of the ATS Ready website at atsready.ai, our applications, and our AI-powered resume optimization services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. Please read these Terms carefully before using the Service. If you do not agree to these Terms, you may not access or use the Service. By creating an account or using the Service, you represent that you have read, understood, and agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. We reserve the right to modify these Terms at any time. Your continued use of the Service following any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for updates.
2. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. The Service is intended for personal, non-commercial use related to job searching and career development. Commercial use of the Service, including using it on behalf of others for compensation, requires our prior written consent.
3. Description of Service
ATS Ready provides AI-powered tools designed to help job seekers optimize their resumes and improve their job search outcomes. The Service includes: - ATS Score Analysis: Automated analysis of your resume against job descriptions to assess compatibility with Applicant Tracking Systems - AI-Powered Optimization: Suggestions for improving resume content, keywords, formatting, and overall effectiveness - Job Intelligence: Research and insights about companies, roles, and job market trends - Interview Preparation: AI-generated interview questions and preparation guidance based on job descriptions - Recruiter Outreach: Tools for crafting professional outreach messages to recruiters and hiring managers The Service is provided "as is" and "as available." We make no guarantees about the availability, reliability, or functionality of any specific features. We may modify, suspend, or discontinue any aspect of the Service at any time without notice.
4. User Accounts
4.1 Account Registration
To access certain features of the Service, you must create an account. When registering, you agree to: - Provide accurate, current, and complete information - Maintain and promptly update your account information - Keep your password confidential and secure - Notify us immediately of any unauthorized access to your account
4.2 Account Responsibility
You are solely responsible for all activities that occur under your account, whether or not you authorized such activities. We are not liable for any loss or damage arising from your failure to protect your account credentials.
4.3 Account Sharing
Your account is personal to you. You may not share your account credentials with others or allow others to access your account. Each user must have their own account to use the Service.
5. Subscription and Payment
5.1 Free Tier
We offer a free tier with limited features. The features and limits of the free tier are subject to change at our discretion. We reserve the right to modify, limit, or discontinue the free tier at any time.
5.2 Paid Subscriptions
We offer a paid subscription plan (Pro) that provides enhanced features and higher usage limits. By subscribing to a paid plan, you agree to: - Pay all applicable fees as described at the time of purchase - Authorize us to charge your designated payment method on a recurring basis - Keep your payment information accurate and up to date
5.3 Billing and Payment
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle. All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method. Prices are subject to change. We will provide you with reasonable notice of any price changes before they take effect. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.
5.4 Free Trials
We may offer free trial periods for paid subscription plans. If you sign up for a free trial, you will be charged the applicable subscription fee at the end of the trial period unless you cancel before the trial ends. You may be required to provide payment information to start a free trial.
5.5 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us at support@atsready.ai. Upon cancellation: - Your subscription will remain active until the end of the current billing period - You will not be charged for subsequent billing periods - You will lose access to paid features at the end of the current billing period - Your account will revert to the free tier
5.6 Refunds
We offer a 7-day money-back guarantee for first-time subscribers. If you are not satisfied with the Service, you may request a refund within 7 days of your initial subscription purchase by contacting support@atsready.ai. Except for the 7-day guarantee, all subscription fees are non-refundable. We do not provide refunds or credits for partial billing periods, unused features, or account downgrades. Refunds may be issued at our sole discretion in exceptional circumstances.
5.7 Usage Limits and Fair Use
Each subscription plan includes feature usage limits. We reserve the right to implement rate limiting or usage restrictions to ensure fair and equitable access for all users, even for plans marketed with "unlimited" access to certain features.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to: - Use the Service for any illegal or unauthorized purpose - Share, sell, or transfer your account to others - Create multiple accounts to circumvent usage limits or abuse free trials - Attempt to reverse engineer, decompile, or disassemble the Service - Access the Service through automated means, bots, scrapers, or similar technology without our written permission - Interfere with or disrupt the integrity or performance of the Service - Attempt to gain unauthorized access to the Service or its related systems - Upload content that contains viruses, malware, or other harmful code - Upload fraudulent, misleading, or intentionally deceptive resume content - Use the Service to generate spam, unsolicited communications, or harassing content - Infringe upon the intellectual property rights of others - Impersonate any person or entity or misrepresent your affiliation - Use the Service in a manner that could damage, disable, or overburden our infrastructure - Use the Service for competitive analysis or to build a competing product - Resell, sublicense, or redistribute the Service without our written consent - Violate any applicable local, state, national, or international law or regulation We reserve the right to investigate and take appropriate action against anyone who violates these restrictions, including suspending or terminating accounts and reporting violations to law enforcement authorities.
7. Intellectual Property
7.1 Our Intellectual Property
The Service, including its design, functionality, content, text, graphics, logos, icons, images, audio, video, software, and source code, is owned by ATS Ready and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial job search purposes. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any portion thereof without our prior written consent.
7.2 Your Content
You retain ownership of all content you upload to the Service, including your resumes, cover letters, and other documents ("Your Content"). By uploading Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display Your Content solely for the purpose of providing the Service to you. You represent and warrant that you own or have the necessary rights to Your Content and that Your Content does not infringe the intellectual property rights of any third party.
7.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.
8. AI-Generated Content
The Service uses artificial intelligence to analyze resumes, generate suggestions, and provide recommendations. You acknowledge and agree that: - AI-generated content is provided as suggestions and recommendations only - You are solely responsible for reviewing, editing, and approving any AI-generated content before use - AI-generated content may not always be accurate, complete, or suitable for your specific situation - We do not guarantee the accuracy, reliability, or appropriateness of AI-generated content - You should not rely solely on AI-generated content for important career decisions - AI outputs may occasionally contain errors, biases, or inappropriate suggestions You assume all responsibility for any use of AI-generated content, including any consequences arising from using such content in your resume, applications, or communications with potential employers.
9. Third-Party Services
The Service may integrate with or contain links to third-party websites, services, or content. These third-party services are not under our control, and we are not responsible for their content, privacy policies, or practices. Your use of third-party services is at your own risk and subject to the terms and conditions of those services. We encourage you to review the terms and privacy policies of any third-party services you access through the Service. We use the following third-party services: - Stripe: For payment processing. 10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: - IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT - WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR VIRUS-FREE - WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION WE DO NOT GUARANTEE THAT USING THE SERVICE WILL RESULT IN JOB INTERVIEWS, JOB OFFERS, OR EMPLOYMENT. THE SUCCESS OF YOUR JOB SEARCH DEPENDS ON MANY FACTORS BEYOND OUR CONTROL, INCLUDING YOUR QUALIFICATIONS, THE JOB MARKET, EMPLOYER DECISIONS, AND OTHER VARIABLES. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ATSREADY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: - DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA - DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE - DAMAGES RESULTING FROM ANY CONTENT OBTAINED FROM THE SERVICE - DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT - DAMAGES RESULTING FROM RELIANCE ON AI-GENERATED CONTENT OR RECOMMENDATIONS IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless ATS Ready and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: - Your use of the Service - Your Content or any content you submit through the Service - Your violation of these Terms - Your violation of any rights of any third party - Your violation of any applicable law or regulation
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@atsready.ai to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiations for a period of at least 30 days.
13.2 Binding Arbitration
If we cannot resolve a dispute through informal negotiations, you and ATS Ready agree to resolve any disputes, claims, or controversies arising out of or relating to these Terms or the Service through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will be conducted in English in Wilmington, Delaware, or another mutually agreed location. The arbitrator's decision will be final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
13.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against ATS Ready.
13.4 Exceptions
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights pending the completion of arbitration.
13.5 Opt-Out
You may opt out of the arbitration agreement by sending written notice to legal@atsready.ai within 30 days of first accepting these Terms. Your notice must include your name, mailing address, email address, and a clear statement that you wish to opt out of arbitration.
14. Termination
14.1 Termination by You
You may terminate your account at any time by following the instructions in your account settings or by contacting us at support@atsready.ai.
14.2 Termination by Us
We may terminate or suspend your account and access to the Service at any time, with or without cause or notice, if we believe you have violated these Terms or for any other reason at our sole discretion. Upon termination: - Your right to use the Service will immediately cease - You will lose access to Your Content stored on the Service - We may delete your account and associated data - Sections of these Terms that by their nature should survive termination will remain in effect
14.3 Effect of Termination
Upon termination, the following sections will survive: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.
15. Changes to Terms
We reserve the right to modify these Terms at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of these Terms. For material changes, we will provide notice through the Service or by sending you an email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and terminate your account before the changes take effect.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Subject to the arbitration provisions above, any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in New Castle County, Delaware. You consent to the personal jurisdiction of such courts.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and ATS Ready regarding the Service.
17.2 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of ATS Ready.
17.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
17.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
17.5 Notices
We may provide notices to you through the Service, via email to the address associated with your account, or by other reasonable means. You are responsible for keeping your contact information current.
17.6 Force Majeure
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, or internet or power outages.
17.7 Relationship of Parties
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and ATS Ready.
